Beat License Agreement — UNLIMITED Lease

Non-Exclusive License

This Beat License Agreement ("Agreement") is a legally binding contract between the Producer and the Licensee named below governing use of the licensed instrumental ("Beat"). By purchasing, downloading, or using the Beat, the Licensee agrees to all terms below.

1. Grant of License

Subject to full payment of the Fee, the Producer grants the Licensee a non-exclusive, non-transferable, worldwide licence to use the Beat to record one (1) new derivative musical composition ("New Song") incorporating the Licensee's original vocals or musical elements, with unlimited usage as set out in Section 3.

2. Delivery

The Producer will deliver the Beat as WAV + MP3 (320 kbps) files plus the individual track stems to the Licensee's email address or via a download link, following receipt of payment.

3. Usage Rights (Unlimited)

Subject to Section 4 (credit) and Section 6 (restrictions), the Licensee may use the New Song with no numerical caps, including:

  1. Distribution copies: unlimited downloads and physical copies sold and/or distributed.
  2. Audio streams: unlimited streams across all platforms.
  3. Music videos: unlimited monetized music videos.
  4. Radio broadcast: unlimited radio stations.
  5. Live performances: unlimited non-profit and for-profit live performances.
  6. Monetization: full monetization across all channels is permitted.

4. Producer Credit (Still Required)

Even under this Unlimited licence, the Licensee must credit the Producer in the New Song's metadata, title, and/or description in a commercially reasonable manner, using the form:

"Prod. by Alek / Foster House Studios"

5. Ownership and Reservation of Rights (Non-Exclusive)

  1. The Beat remains the sole and exclusive property of the Producer. This Agreement grants a licence to use the Beat and does not transfer ownership or copyright.
  2. This licence is non-exclusive: the Producer keeps all rights in the Beat and retains the right to continue to use, sell, license, and distribute the same Beat to other licensees at any time. "Unlimited" refers to the Licensee's usage limits, not to exclusivity.
  3. The Producer retains the publishing and master rights in the Beat itself. Ownership of the Licensee's original vocals/lyrics remains with the Licensee. 6. Restrictions

The Licensee may not:

  1. resell, re-license, lease, sub-license, transfer, or redistribute the Beat or its stems as a standalone instrumental, sample pack, or in any form that lets others make their own songs from it;
  2. claim exclusivity or prevent the Producer from licensing the same Beat to others;
  3. register the Beat with any Content ID or rights-management system in a way that claims ownership of the Beat or blocks the Producer or other licensees;
  4. claim authorship of, or copyright in, the Beat;
  5. use the Beat for any unlawful, defamatory, hateful, or infringing purpose;
  6. use the Beat as a trademark, logo, or sonic brand identity without a separate written agreement.

7. Term and Termination

  1. This Agreement takes effect on the Effective Date and continues in perpetuity for the licensed usage, unless terminated for breach under this Section. [Edit if you prefer a fixed term.]
  2. The Producer may terminate immediately upon written notice if the Licensee breaches any term (including failing to credit, re-selling the Beat, or non-payment). Upon termination for breach, the Licensee must cease all use of the Beat and remove the New Song from distribution.
  3. Sections 4, 5, 6, 8, 9, and 10 survive termination.

8. Payment and Refunds

The licence is granted only upon receipt of the full Fee. As the Beat is a digital good delivered immediately, all sales are final and non-refundable once the files have been delivered, except where required by mandatory consumer-protection law.

9. Warranty and Liability

The Producer warrants that they are the creator and owner of the Beat and have the right to grant this licence. The Beat is otherwise provided "as is". To the maximum extent permitted by law, the Producer's total liability is limited to the amount of the Fee paid. Nothing limits liability for intent, gross negligence, or injury to life, body, or health.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Federal Republic of Germany, excluding the CISG. The place of jurisdiction, to the extent legally permissible, is Berlin, Germany.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Beat and supersedes any prior understanding. Amendments must be in writing.
